1. Agreement to Terms
By accessing or using Shlovate's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Services
Shlovate provides recruitment and staffing services, including but not limited to:
- General Recruitment: End-to-end recruitment support for permanent, contract, and project-based roles.
- Assessed Candidate Shortlisting: Premium hiring solutions with expert-led interviews and comprehensive candidate assessments.
3. User Responsibilities
For Employers/Clients:
- Provide accurate and complete information about job requirements and company details
- Conduct interviews and hiring processes in a fair and non-discriminatory manner
- Honor agreed-upon commercial terms and payment schedules
- Notify Shlovate promptly of any hiring decisions
- Not directly contact or hire candidates introduced by Shlovate without proper engagement
For Job Seekers/Candidates:
- Provide accurate and truthful information in applications and interviews
- Keep Shlovate informed of your job search status and availability
- Attend scheduled interviews and assessments
- Inform Shlovate of any changes to your contact information
- Maintain confidentiality regarding client information shared during the recruitment process
4. Fees and Payment
Employer Fees:
- Placement fees are calculated as a percentage of the candidate's annual compensation (CTC)
- Assessment fees for Assessed Shortlisting services are charged per role
- Payment terms are specified in individual service agreements
- All fees are non-refundable unless otherwise stated in the service agreement
Candidate Fees:
Shlovate does not charge job seekers for recruitment services. Our services are free for candidates.
5. Replacement Guarantee
For permanent placements, Shlovate offers a replacement guarantee as specified in individual service agreements. This guarantee is subject to the following conditions:
- The candidate leaves voluntarily or is terminated within the guarantee period
- The termination is not due to redundancy, restructuring, or changes in job requirements
- The client has fulfilled all payment obligations
- The request for replacement is made within 7 days of the candidate's departure
6. Confidentiality
All parties agree to maintain confidentiality regarding:
- Candidate personal information and employment history
- Client business information and hiring strategies
- Commercial terms and fee structures
- Assessment results and interview feedback
7. Non-Circumvention
Clients agree not to:
- Directly hire candidates introduced by Shlovate without paying applicable fees
- Share candidate information with third parties without consent
- Engage candidates for different positions without notifying Shlovate
This obligation extends for 12 months after the candidate's introduction.
8. Intellectual Property
All content on the Shlovate website, including text, graphics, logos, and software, is the property of Shlovate and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
9. Limitation of Liability
Shlovate acts as an intermediary between employers and candidates. We do not guarantee:
- Employment outcomes for candidates
- Performance or conduct of placed candidates
- Accuracy of information provided by candidates or clients
To the maximum extent permitted by law, Shlovate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services.
10. Indemnification
You agree to indemnify and hold harmless Shlovate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these terms
- Your violation of any rights of a third party
11. Termination
Either party may terminate the service relationship with written notice. Upon termination:
- Outstanding fees for completed placements remain payable
- Confidentiality obligations continue to apply
- Non-circumvention clauses remain in effect for the specified period
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.
13. Changes to Terms
Shlovate reserves the right to modify these terms at any time. We will notify users of significant changes by posting the updated terms on our website. Continued use of our services after changes constitutes acceptance of the new terms.
14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
